    第一章总那么
    第一条为标准和加强国家开发银行〔以下简称开发银行〕资产评估管理工作,根据国家有关法律、法规和政策,制定本方法。
    第二条开发银行有以下情形之一的,应当对相应资产进行评估:
    〔一〕转让股权资产;
    〔二〕处分抵押物、质物〔权利〕;
    〔三〕转让抵债资产;
    〔四〕法律、法规规定需要进行评估的其他情形。
    第三条对于转让股权资产或抵债资产,如果转让时点处在债转股或以物抵债评估有效期限内,且评估范围没有发生变化,可以直接使用债转股或以物抵债时的资产评估结果,不需再次评估。
    第四条资产评估管理是指开发银行在实施本方法第二条所列经济行为之前,为客观表达资产的价值量、合理确定资产交易价格而进行资产评估时,依据本方法规定所进行的管理。
    第五条资产评估管理工作包括资产评估机构选择、资产评估立项、资产评估准备、评估结果审核与评估工程备案等五个环节。
    第六条资产评估管理工作执行“统一领导,分级负责,授权管理,标准操作〞的原那么,由总行资产重组保全局归口管理,总行相关部门按职责分工参与工作,分行〔含总行营业部,下同〕负责具体操作。

    第二章资产评估机构选择
    第七条资产评估机构的选择应遵循“慎重选择,择优委托,诚信合作,加强管理〞的原那么。
    第八条备选的资产评估机构应具备以下根本条件:
    〔一〕具有证券业务资产评估资格;
    〔二〕具有良好的业绩;
    〔三〕无违纪违规和不良记录;
    〔四〕开发银行规定的其他条件。
    第九条资产重组保全局应收集有关资产评估机构信息,每年发布一次开发银行资产评估机构备选名单,并对名单中的机构进行跟踪了解,根据其从业表现,适时调整或补充备选名单。
    第十条具体选择资产评估机构时,还需考虑以下因素:
    〔一〕具有委托评估业务的评估经历,或拥有足够开展委托评估业务的专业评估人员;
    〔二〕评估收费合理;
    〔三〕评估工作时间能够满足开发银行的具体要求。
    第十一条分行选择资产评估机构时,应优先选择备选名单中的资产评估机构,并在3家以上符合条件机构中采取竞争性谈判、询价等方式,择优选定。
    第三章资产评估立项
    第十二条本方法第二条所列经济行为经总行批准后,分行即可根据拟评估资产情况,按照本方法第二章的规定,物色资产评估机构,并进行协商,初步选定一家资产评估机构。
    第十三条分行在资产评估机构初步选定后,向资产重组保全局提出资产评估立项申请,报送?资产评估立项表?〔格式见附件1〕。
    第十四条资产重组保全局收到?资产评估立项表?后,应立即进行审查。审查重点如下:
    〔一〕资产评估依据是否充分;
    〔二〕评估目的与评估范围是否一致;
    〔三〕选择的评估机构是否适宜;
    〔四〕评估费用是否合理;

    〔五〕申报材料是否齐全。
    第十五条资产重组保全局提出审查意见,会签财会局和相关业务局后,报主管行长审批。
    第十六条主管行长批准后,资产重组保全局填制?资产评估立项通知单?〔格式见附件2〕,发送分行。
    第十七条分行收到?资产评估立项通知单?后,依此与选定的资产评估机构进行谈判,并签订?资产评估业务委托协议?〔格式见附件3〕。
    第四章资产评估准备
    第十八条资产评估立项后,分行应按资产评估工作要求,做好资产评估准备工作。
    第十九条对于转让股权资产的,分行应与投资企业协商,收集以下材料:
    〔一〕股权资产权属证明文件;
    〔二〕评估基准日股权资产金额、股份比例及其历史收益水平;
    〔三〕投资企业现状及开展概况;
    〔四〕投资企业的组织结构图及生产工艺流程图;
    〔五〕投资企业近三年经审计的会计报表;
    〔六〕股权资产评估需要的其他材料。
    第二十条对于处分抵押物、质物〔权利〕的,分行应与抵押人〔出质人〕协商,对抵押物、质物〔权利〕进行清查,做到账实相符,同时要收集以下材料:
    〔一〕抵〔质〕押合同;
    〔二〕抵押物、质物〔权利〕清单;
    〔三〕抵押物、质物〔权利〕权属证明文件;
    〔四〕评估基准日抵押物、质物〔权利〕的账面价值;
    〔五〕资产评估需要的其他材料。
    第二十一条对于转让抵债资产的,分行应进行自查,并收集以下材料:
    〔一〕抵债资产权属证明文件;

    〔三〕评估基准日抵债资产的账面价值;
    〔四〕资产评估需要的其他材料。
    第二十二条分行在调查收集有关材料的根底上,按资产评估机构的要求,填制?资产评估申报表?。
    第二十三条在资产评估过程中,分行应做好协助工作,同时要按照?资产评估业务委托协议?约定,监督资产评估机构的评估活动。
    第五章评估结果审核与评估工程备案
    第二十四条资产评估机构出具资产评估报告后,分行应对评估报告进行初步审查,向资产重组保全局报送审查报告,并附资产评估报告书、评估说明和评估明细表等相关材料。审查报告应包含以下主要内容:
    〔一〕资产评估根本情况;
    〔二〕资产评估结果及审查意见;
    〔三〕资产交易可行性分析;
    〔四〕对资产评估机构的评价意见。
    第二十五条资产重组保全局收到审查报告后,对评估结果进行审核。审核重点如下:
    〔一〕评估所依据的法律、法规和政策是否准确、适当;
    〔二〕评估方法是否合理;
    〔三〕评估选用资料、数据、参数是否真实、可靠、适用;
    〔四〕评估结果是否客观、公正、合理;
    〔五〕资产评估机构和资产评估师是否就评估结果的客观性、公正性、准确性及对评估结果所负的责任做出承诺;
    〔六〕资产评估报告书内容是否完整、说明是否充分、附件是否齐全。
    第二十六条资产重组保全局审核后,提出审核意见,报主管行长审批。主管行长批准后,资产重组保全局将审核意见反应分行。
    第二十七条资产评估结果审定后15个工作日内,资产重组保全局负责按财政部要求填制?国有资产评估工程备案表?〔见附件4〕,连同资产评估报告〔含评估报告书、评估说明和评估明细表〕,报送财政部,办理资产评估

    第二十八条评估工程备案后,假设需要调整评估结果,那么必须自调整之日起15个工作日内,向财政部重新办理备案手续。
    第二十九条完成备案手续后,资产重组保全局应按开发银行档案管理方法规定,将资产评估工程资料整理归档。
    第六章监督与罚那么
    第三十条分行负责对资产评估机构的评估活动进行监督,发现资产评估机构有不履行?资产评估业务委托协议?约定义务的行为,应解除委托协议,造成开发银行损失的,应追索资产评估机构的责任。
    第三十一条发生以下情形之一的,给予直接责任人及相关责任人行政处分:
    〔一〕选择资产评估机构违规,以致评估结果不真实,造成开发银行资产转让损失;
    〔二〕对资产评估机构监督不力,造成开发银行损失;
    〔三〕与有关当事方串通,损害开发银行利益;
    〔四〕其他违规行为。
    第七章附那么
    第三十二条企业进行与开发银行相关的资产评估,需开发银行确认资产评估机构的,参照本方法执行。
    第三十三条涉及诉讼的资产评估工程按照国家相关法律、法规的规定执行。
    第三十四条开发银行涉及债转股及股权资产转让的资产评估工作,经总行领导授权后,由受权部门按有关规定办理。
    第三十五条开发银行固定资产评估具体管理要求和操作程序,另行规定。
    第三十六条本方法由总行资产重组保全局负责解释。
    第三十七条本方法自印发之日起施行。
