【中文摘要】法定竞业禁止制度作为竞业禁止制度的一种重要类型,我国现行法律体系通过?公司法?、?合伙企业法?、?商业银行法?、?律师法?等多部法律对该制度进行了规定。本文通过讨论我国现行?公司法?之中规定的法定竞业禁止制度,分析我国现行?公司法?法定竞业禁止制度中的竞业禁止义务、法定竞业禁止义务人的主体范围、法定竞业禁止义务人不应实施的行为、法定竞业禁止的相对限制制度以及公司救济制度等方面的规定,阐述我国现行?公司法?法定竞业禁止制度主要方面的具体内容和法律特征,分析该制度中存在的立法空白和立法疏漏,并进一步讨论我国现行?公司法?可通过规定注意义务的定义及具体内容、将监事纳入法定竞业禁止义务主体范围、明确规定竞业禁止的法定期间、改良法定竞业禁止的相对限制制度、改良法定竞业禁止制度中公司的救济制度等措施,逐步对我国?公司法?法定竞业禁止制度进行合理改良。
