摘要

知识经济时代,科学技术的突飞猛进,使得任何企业都难以单靠自己
的力量获取发展所需的一切技术资源,技术并购作为企业获取外部技术资
源的有效途径,已成为企业实现发展战略的重要手段。如何对技术并购后
的企业进行整合管理,已成为理论界和企业界的一个重要研究课题。然而,
理论界对技术并购整合规律认识仍不够全面,没有从知识与技术能力的角
度来分析研究并购整合的相关问题。本文采用定性分析、借鉴与创新、案
例与规范研究相结合的研究方法,运用企业知识理论和知识平台理论对这
一重要问题进行研究。
本文分析了知识与技术能力的关系,指出不仅技术并购与技术能力有
相互作用,而且通过知识平台的整合会带动技术能力协同增长。论文将知
识作为企业生存和发展的最重要的因素,将企业等同于知识平台,企业的
技术并购整合视同两个企业知识平台的整合及优化。结合知识与技术的密
切关系,提出基于知识平台企业技术并购整合过程中不可忽视的关键阶段
是知识平台上知识处理的过程,即如何利用知识平台将知识识别、知识转
移、知识整合有机联系在一起。
本文提出知识平台各要素的评价标准,以此为基础,提出了具体的基
于知识平台的技术并购整合模式,并对具体整合模式的应用进行了详细的
分析,给出了结合技术能力要素进行整合模式选择的方法。本文还对企业
技术并购整合后的新知识平台的完善和优化作了详细分析,最后给出了基

于知识平台的技术并购整合的评价分析指标。
本文的研究以知识平台作为分析工具,对技术并购整合管理的关键阶
段作详细分析,并抽象出具体的整合模式,研究成果希望成为对企业技术
并购的充实和对企业知识管理理论的发展,帮助企业的创新决策者深入了
解累积知识以及在企业技术创新中合理运用知识的必要性,对推动技术并
购在我国的开展具有积极的意义。

Abstract

In knowledge economic era, rapid development of science and technology
make any an enterprise difficult to develop all its technologies by itself. As an
effective approach to acquire external technology, corporation technology M&A
(merger & acquisition) has e an important instrument to achieve its
strategic goal for one enterprise. Technology M&A integration has e an
important research issue in theory field and social field. However, scholars who
devote to theory have not adequately understanding on its rule and have not
studied it from the relationship of knowledge and technology ability. This article
adopts the method of qualitative analysis, utilization and innovation, case and
standard study. It also studies this problem with enterprise knowledge theory
and knowledge platform.
The article analyzes the relationship of knowledge and technology ability.
It shows not only technology M&A and technology ability have reciprocity, but
also knowledge platform integration can spur the increase of technology ability.
