摘要
方正科技(股票代码:600601)的发展在中国证券市场上是非常具有代
表性的。它经历了中国证券市场的发生、发展的全部历程,它的并购发展史
可以说是中国的上市公司并购发展的一个缩影。
本文首先通过对以方正科技为主线的一系列并购事件的回顾,主要包括:
宝延风波、北大入主延中、裕兴和高清举牌方正科技等主要并购事件,将一
个个错综复杂的“资本故事”展现出来。然后从绩效表现、经济、法律环境
以及资本市场等不同的角度对事件的发生和发展做一个尝试性的描述和分
析。分析的内容主要有:方正科技的并购与反并购、信息披露及相关法律问
题、中小投资者的法律保护、公司的治理结构以及并购方式等等,在积极评
价其对中国并购发展的贡献同时,对于其并购发展过程中所产生的一系列问
题进行剖析。
接下来以方正科技的并购事件为基础,同时分析我国上市公司并购的发
展及存在的问题,对于完善信息披露,完善上市公司治理结构,保护中小投
资者以及并购和反并购等方面提出建议,并且对于西方发达国家在并购发展
中可以借鉴之处也作了一定的涉及。
最后对于中国上市公司并购的发展做一个展望。本文力图通过案例分析
的形式,尝试性的将中国上市公司并购的发展通过一个“故事”来生动的讲
述出来。在“故事”情节的发展中,发现问题、分析问题并对于中国上市公
司并购的发展提出合理建议。

摘要
Abstract
The development of the Founder Technology is very representative
in the securities market of China. The Founder Technology went through
the entire process of Chinese securities market’s creation and
development, we can say, the history of its M&A’ development is an
epitome of Chinese panies.
At first, the thesis exhibits the every one of the anfractuosity
“capital stories” via a series of M&A events’ retrospect which was
jointed by the Founder Technology, including “Bao-Yan storm”,
Beijing University merger Yanzhong Corporation, Yuxing and Gaoqing
merger Founder Technology, etc.
Secondly,describe and analyze the events through performances,
economy, law environment, capital market and other points of view. The
main contents of the analysis are: merger and anti-merger of the
Founder Technology, information proclamation and relevant juristic
problems, the juristic protection of the medium and small investors,
the fathering of panies and the methods of the merg
