摘要
公司治理问题是关系公司发展的关键,而影响公司治理的因素很多,从资本结构角度来分析和解决公司治理是目前讨论较多也是行之有效的途径。研究资本结构在公司治理中如何发挥其作用,可以为实现上市公司优化公司资本结构与完善公司治理结构提供借鉴与启示。本文首先论述了资本结构和公司治理的关系,然后从债权结构和股权结构两方面分别分析资本结构对公司治理的影响,研究公司资本结构的治理效应,结合我国上市公司实际情况,最后提出了对优化资本结构完善公司治理的一些对策及建议。

Abstract
The problem of corporate governance is the key to the development of relations between panies, many factors affect corporate governance, from the viewpoint of capital structure to analyze and solve the corporate governance is the more effective way is discussed. The research of capital structure how to play its role in the management of pany, for the panies to optimize capital structure and perfect the corporate governance structure to provide reference and inspiration. This paper first discusses the relationship between capital structure and corporate governance,
then from the debt structure and stock structure of two aspects of analysis of capital structure on corporate governance, research pany governance effect of capital bined with China's actual situation of panies, and finally put forward to optimize the capital structure to improve the corporate governance of some countermeasures and suggestions.

资本结构与公司治理是资本市场理论的重要内容,同时也是当前公司治理研究中的热点问题。资本结构理论产生于美国经济背景,研究目的在于解释公司选择某特定资本结构的主要原因,揭示公司资本结构与公司价值以及公司管理行为的关系,为公司的资本结构决策和融资投资决策提供理论基础和指导。随着研究的不断深入,各种因素和理论的引入,使现代资本结构理论发生了重大飞跃,对公司治理研究也产生了深刻的影响。近年来,国内外学者对资本结构如何通过影响公司治理
