摘要:本文从知识论和制度经济学的角度对家族企业的定义和特征、发展路径及未来趋势做了探讨。知识的有限性和有限理性是家族企业走向社会化的主要因素,是企业开放内部股权和雇用职业经理人,引进外部资源和智源的内在动力。欧美家族企业和中国家族企业在企业社会化程度上的差异是造成中国家族企业短命的主要因素。家族企业由内在制度占主导到外部制度占主导的转变是家族企业突破发展瓶颈,实现社会化、建立现代企业制度的必然途径,家族企业的内在制度主要源于中国传统的家庭伦理观念和差序格局,而外在制度则是引进现代企业制度。外在制度的引进需要有健全的法律体系、完善的融资体制和经理人制度,建立社会诚信机制。外在制度的引进是一个渐进的过程。

Abstract: The article uses theory of knowledge and institutional economics to discuss the definition, the characteristics, the development path and the future trends of family enterprises. Limited knowledge and limited rationality are main factors for family enterprises to be socialized and intrinsic motivations to open shares, to Employ Professional Managers, to Introduce External Funds and Talents. The difference of Socialization between Europe and the United States family enterprises and Chinese family enterprises is main Factors to lead Chinese family enterprises mainly due to short-lived. The transfer from the internal system to external system is main way to breakthrough development bottleneck, to socialize and to establish a modern enterprise system. Family Enterprises’ internal system is mainly from the Chinese family traditional values and order patterns, while external system is mainly from the introduction of modern
