在一定时期国有企业的多层次法人实体模式、多元化经营是企业集团发展的
基本战略,为企业集团及其下属企业发挥主观能动性、安排企业富余职工,解决
职工福利等发挥了积极作用。随着经济发展的要求,这种多级法人实体模式和多
元化经营已成为阻碍国有企业集团发展的障碍,出现了经营亏损、财务困难、管
理混乱,严重的可以使整个国企集团破产,因此必须对此进行改革。
党的十七大报告指出“深化国有企业公司制改革,健全现代企业制度,优化
国有经济布局和结构,增强国有经济活力、控制力、影响力”,给国有企业改革提
供了难得的历史发展机遇。
本文以湖南省石油总公司体制改革方案为研究对象,通过国有企业体制改革
理论的阐述,公司发展历史回顾与现状分析,提出了公司体制改革的必要性。本
文指出,只有建立一级法人授权的经营模式和寻找适合的主业经营,实际分级权
限管理才能使公司走上良性发展之路。
本文重点对体制改革方案设计进行了研究,首先根据设计目标、原则和依据,
结合公司实际情况,提出了体制改革方案的思路,体制改革方案设计的核心内容
是如何解决好实施体制改革过程中涉及到的资产过户、单位注销和职工安置等问
题,经过分析与探讨,提出了适合本公司的体制改革模式:整体运作,逐个注销
下属企业,上移资产负债到省级公司,最后变更省级公司,上移合并后资产负债
整体划转到新公司。
文章最后,在体制改革方案设计研究的基础上提出了体制改革的实施方案及
其保障,保证体制改革方案尽快顺利完成。

Abstract
In a certain period, state-owned enterprise's multi-level legal person entity
pattern and the diversified operation are the basic strategies of the development of the
enterprise group. In the enterprise group and the subordinate enterprises, the strategies
play a positive role in exerting the subjective initiative and the arrangement of extra
staff and the benefit to the staff. With the development of economy, the strategies have
e the barriers to the development of state-owned enterprise group, leading to
operating losses, financial difficulties and poor management, what’s more, they might
cause the enterprise group to go bankruptcy. Therefore, the strategies have to be
changed.
The 17th Party Report pointed out that the reform of state-owned enterprise
system should be deepened, the modern enterprise system should be improved, the
state economy layout and the structure should be optimized, the state economy vitality,
control and influence should be strengthened, which provided a rare opportunity for
development for the state-owned enterprise .
