风险企业融资结构研究
摘要
资本是企业的生存之本,是企业经济活动的持续推动力。对企业来说,无论期初的创
立还是以后的发展,都必须拥有并保持一定数额的资本,都需要以一次次融资、投资、再
融资为重要前提。企业的融资结构直接影响着企业的生死存亡,如何有效的筹集资金、利
用资金是现代企业亟待解决的问题。风险企业高风险的特征决定了其在融资结构问题上的
特殊性,本文将对风险企业的融资问题进行深入的分析。
影响风险企业融资结构的因素众多,本文分析了风险企业的融资特征,结合风险投资
公司对风险企业融资的评审过程,对影响风险企业的内外部因素进行了深入的剖析。同时,
风险企业家和风险投资家在风险投资过程中起决定性的作用,本文特别对风险企业家和风
险投资家的逆向选择和道德风险问题做了阐述。
本文构建了风险企业融资结构模型。该模型是在企业价值最大化、信息不对称、分段
融资等理论和一些假设的基础上建立的。本文对该融资结构模型中融资数量和最佳融资量
进行了求解,并对其规律、理论意义进行了分析,与传统融资结构理论、激励理论、信息
不对称理论相结合对该模型进行解释。
总览全文,本文以企业融资理论、企业成长周期理论与信息传递理论以及风险企业融
资的相关理论为基础,针对我国风险企业融资的实践,借鉴美国与世界其他主要发达国家
风险企业融资的经验,研究风险企业的融资结构,对风险企业融资结构进行优化,提出促
进风险企业融资的策略与建议。最后对全文进行了总结性的阐述。

THE RESEARCH ON FINANCING CONSTRUCTION ABOUT
VENTURE ENTERPRISE
ABSTRACT
The capital is the indispensable element for an enterprise,which is the sustainable impulse
of enterprise economic activities. Whenever it’s in the establishment stage or the later
development stage, an enterprise must own and keep certain sum of the capital. In each stage, the
development of the enterprise is based on finance, investment, refinance. The financial structure
of the enterprise has a direct influence on the rise and decline of the enterprises. How to raise
funds and make use of funds effectively is the problem that the modern enterprise must resolve.
Because the venture enterprise is characterized of high risks that decide its special in the
financial structure, the thesis will analyze the finance problem of the venture enterprise.
There are many factors which influence the financial structure of venture enterprise. The
thesis analyzes the financial characteristic of the venture enterprise by the venture investment
company’s judging for the venture enterprise’s finance. Besides, it analyzes the interior and the
