基于人本管理的财务治理机制研究
摘要
人本管理思想和财务治理机制存在很强的逻辑关联性,融合了人本管理思想的财务治
理机制将更加完善、高效。本文基于此进行研究,在研究过程中以案例论证了笔者的观点。
笔者以充分调动企业利益相关主体的积极性并实现其利益最大化为主线贯穿全文。首
先对财务治理机制的核心——财权配置进行系统的研究,通过分析得出结论:现代企业财
权的来源已经发生了变化,企业股东和债权人的财务资本、经理和员工的人力资本、供应
商和客户的市场资本等,都可以作为企业财权的来源。然后提出基于人本管理思想的财权
配置和财务治理机制都应该以充分调动企业相关主体的积极性并实现其利益最大化为目
标,在此基础上,本文采用系统研究的方法,对财务治理机制进行研究。
本文将财务治理机制分为财务决策机制、财务激励机制和财务约束机制。对财务决策
机制,本文针对目前企业财务决策机制存在的问题及原因,从人本管理的角度,首次提出
在企业内部建立重大财务决策听证制度,并提出构建基于人本管理的财务决策机制的其他
建议,即完善财务决策支持系统、完善董事会成员结构、提高决策主体的素质和能力以及
增强各主体参与财务决策的意识。对财务激励机制和财务约束机制,笔者参考委托代理等
理论,从企业自身出发,对企业不同的利益主体设计出不同的激励机制,并提出了构建基
于人本管理的财务激励机制和财务约束机制的其他措施,即激励策略多样化、建立人性化
的企业文化、促使经营者报酬计划与业绩评价紧密结合、加强监控者参与监控的动机和能
力和完善企业内部管理控制系统。

Research on Mechanism of Financial Governance Based
on Human Management
Abstract
There is a strong relationship between human management and mechanism of financial
governance. With the integration of human management thought, mechanism of financial
governance will be plete and efficient. The paper aims to study the mechanism of
financial governance based on the thought of human management, and demonstrates the point of
view with case study.
The paper has the main line through out the full-text to mobilize the enthusiasm of
stakeholders and to achieve maximum benefit of them. Based on the idea of human management,
the paper studies the configuration issues of property rights at first, it presents the idea that the
basis of property right configuration for modern enterprise has changed, the paper elucidates
the idea that the financial capital of corporate shareholders and creditors, market capitalization of
suppliers and customers, human capital of managers and employees etc., can be used as a
source of property rights. Then, the paper puts forward the idea that the configuration issues of
