票号风险管理研究-基于COSO框架的分析

摘要
山西票号写下了“汇通天下”的辉煌篇章,开创了我国金融业的先河,探
索票号一百多年兴衰成败的发展历程,深度挖掘票号管理运作过程中的丰富经
验和独特的经营理念,票号给世人留下了厚重的商业文化,其中,票号的风险
管理文化更是值得称赞。
本文采用历史分析和比较的方法,选择票号的风险管理为切入点,基于
企业风险管理的理论框架对票号风险管理进行系统分析,并对票号的主要风险
管理活动(即汇兑风险管理和存贷风险管理)进行全面解读,结合现代商业银
行及企业的风险管理实践,寻求适合我国企业风险管理现状的经验和教训,以
古鉴今,更好地吸收和借鉴票号的深厚文化和有效的管理方法。
本文概括和总结了票号风险管理的特点及经验教训,结合现状提出了四个
方面需要借鉴和学习的地方:一、票号的“硬”性规章制度与“软”文化教育
相得益彰,达到风险管理的目的;二、票号明晰的产权制度与两权分离的治理
结构逐步优化,与对职员严格人身控制相结合,使风险管理收到良好的效果;
三、票号的“顶身股”制度作为一把“双刃剑”,使得对员工的充分激励与严格
约束同步进行,是票号人力资源管理的精华;四、票号业务中防范金融风险的
同时,拓展金融业务,得出“创新是抵御风险最有力的武器”的结论,现代金
融业要加大创新力度,主动防范风险。
本文的结论不仅会对传承票号文化、弘扬晋商精神起到积极的作用,而且
对于防范金融风险、推动金融创新,指导现代企业的风险管理如何应对今后日
益复杂的金融形势等都具有非常重要的意义。

Abstract
Shanxi draft bank wrote "Land of Wealth, "the brilliant chapter, creating a precedent for
China's financial industry. To explore the draft bank’s ess or failure in the development process
one hundred years ago, and excavate deeply experience and unique business philosophy in the
course of the draft bank. We can find that the draft bank left a thick business culture to the world, its
risk management culture mendable.
This paper applied historical analysis and parison method ,selected the risk
management of draft bank as the starting point , analyzed the risk management of draft bank
Systematically by COSO enterprise risk management framework , and conducted prehensive
interpretation of the key risk management activities of draft bank (ie, the risk management of
exchange rate and the risk management of savings and loan) ,combination of mercial
banking and corporate risk management practices, to seek for current situation of enterprise risk
management experience and lessons, today learn from the ancient, to better absorb and learn the
deep cultural and effective management of draft bank.
