南京市国有商贸企业多元化重组模式的实证研究

摘要
从 2003 年开始,全国国有商贸企业间产生了一股资产重组的浪潮,在这样
的大环境下,南京国有商贸企业也开始探寻新的生存方式。2003 年底南京市政
府推出了一系列改革方案,提出了“彻底改、改彻底”的总体要求,金鹰系重组南
京新百,兼并东方商城,雨润系重组南京中商,掀起了南京国有商贸企业资产重
组的高潮。
本文以新制度经济学中的交易费用理论、产权理论及企业并购理论为基础,
从理论动因、社会动因及经济动因三方面对国有商贸企业资产重组做理论分析。
以 2004--2005 年间南京市国有商贸企业为研究对象,对重组前南京商贸行业的
整体价值、核心因素进行分析,通过建立均衡模型证明采取横向兼并或混合兼并
进行商贸业资产重组的可行性。以综合指数法、股利资本化比例法、现金流量折
现法、事件分析法和经济增加值法为研究方法,以金鹰系重组南京新百、雨润集
团重组南京中商为实证研究对象,对重组背景、重组过程及重组后企业发展状况
分别做分析,从重组前双方背景条件、重组时目标企业被收购价格、二级市场反
映状况以及重组前后企业经营绩效四方面进行对比研究,结合国外资产重组的理
论知识和实践经验,对南京国有商贸企业资产重组提出了对策建议。
最终得出结论,只有在明晰企业产权,健全社会保障制度,建立切实有效的
资产定价方法,提高金融服务的层次及范围和整合重组双方企业文化的大前提
下,才能实现商贸国企资产重组后政府、企业、社会三方共赢的局面。

ABSTRACT
Since 2003, state-mercial enterprises have set off one strands of the
assets anization tide in the whole nation. Under such overall situation,
state-mercial enterprises in Nanjing had also begun to seek for a new way
of living. At the end of 2003, a series of reforming schemes were debuted and a
general requirement, "switching over generally, pletely", was suggested
by The Nanjing municipal government. Golden Eagle anising Nanjing Xin Bai,
mergencing mercial center and Yu Run anising Nanjing Zhong Shang
spurred Nanjing state-mercial enterprises assets anization climax on.
This dissertation was based on the bargain expenses theories, produce power
theories and enterprise mergence theories in new institutional economics. Theories
analysis was demonstrated by three aspects, which were theories motive, society
motive and economy motive. The whole value and core factors former anization
of 2004-2005 Nanjing state-mercial enterprises were analyzed. The
