摘要
股票期权计划(Executive Stock Option ,以下简称 ESO)是近二十几年来在西
方兴起的一种用以激励经理人员的报酬制度,股票期权引入我国只有几年的时间,
相应的法律规范和理论研究尚不完善和全面,探索如何正确、合理和有效地实施这
一激励手段对于企业发展有着非常深远的意义。中展科技公司作为一家高速发展中
的高新科技企业,公司现阶段的很多特点非常适合推行股票期权计划,本文通过对
国内外股票期权模式的研究和分析,结合中展科技公司的实际运作情况,设计了一
套股票期权计划方案,希望通过此方案能较好地解决激励企业经营者、减少代理成
本、改善治理结构、促进稳健经营等方面的问题。
本文首先通过对中展科技公司发展历程、财务指标、薪酬情况和公司面临的激
烈人才竞争等情况进行分析,并结合股票期权的特点及其管理效应,论证了中展科
技公司现阶段实施股票期权计划的必要性。紧接着本文总结了国内外股票期权的种
类和各模式之间的利弊,以此为基础,本文设计了一套切实可行又适合中展科技公
司发展需要的股票期权计划。最后,本文对所设计的中展科技公司股票期权计划进
行利弊分析,再次论证了此股票期权计划的可行性和优缺点,提出了实施中需要注
意的要点和可能遇到的障碍和问题,并提出了一些解决建议,希望其他企业可以从
中得到一些有益的启示,不断完善我国正在探索的股票期权计划。

Abstract
Executive Stock Option (ESO), which is a payment system brought about to inspire
the managerial staff during last two decades. It has been only several years that China has
embraced the ESO. Since there are no established regulations and relevant theories
available, so it is extremely meaningful for enterprises to explore how to carry out this
inspiring measure correctly, reasonably and effectively. This thesis sets forth a design of
ESO project by analyzing and researching on both national and international ESO
models, aiming to build a more inspiring system, cut the cost, improve management
structure and promote stability, with respect to the practical operation in Shenzhen
Zhongzhan science and pany ltd. (SZZZ) which, as a hi-tech enterprise
with high speed development, is suitable for ESO plan.
First, the paper proves the necessity of carrying out ESO project in SZZZ, by
analyzing its development history, finance indicators, payments and the severe talent
competitions it may confront. And after summarizing the advantages and disadvantages
of different models of national and international ESO projects, based on which it designs
a feasible ESO plan which meets SZZZ’s developing nee
