文档介绍：CONFIDENTIALITYAGREEMENTThisConfidentialityAgreementismadeon[date],byandbetween:1.[],acompanyestablishedandexistingunderthelawsof[],whoseprincipalplaceofbusinessisat[](panyA”);and2.[],acompanyestablishedandexistingunderthelawsof[],whoseprincipalplaceofbusinessisat[](panyB”).panyBhereinafterarecollectivelyreferredtoasthe“Parties”,andindividuallyreferredtoasa“Party”.RecitalWHEREAS,theRecipientdesirestoacquirecertaininformationrelatingtotheDiscloseranditsRelatedPartiesforthepurposeof(hereinafterreferredtoasthe“Project”);andWHEREAS,fortheaboveProject,theDiscloserhasagreedto,directlyorindirectlythroughotherparties,makeavailabletotheRecipientcertainconfidentialinformation(asdefinedinArticle1),thePartiesagreetoenterintothisConfidentialityAgreement(hereinafterreferredtoasthe“Agreement”)underthefollowingtermsandconditions::(1)allnon-publicinformationanddata(municatedormaintained,whetherorally,inwriting,electronicallyorviaanyothermedium)relating,directlyorindirectly,totheaParty(hereinafterreferredtoasthe“Discloser”),itsRepresentativeortheProject,thatisdeliveredordisclosedbytheDiscloserorbyanyotherpersonsonbehalfoftheDisclosertotheotherParty(hereinafterreferredtoasthe“Recipient”)oritsRepresentative.(2)allinformation,data,pilations,notes,studies,memorandaorotherdocumentsormaterialsderivedfrom,containingorreflectingtheinformationlistedinsection(1).:Page1(1)esinthepublicdomainpriortothedisclosurethereofbytheDisclosertotheRecipientorentersintothepublicdomainotherwisethanthroughaviolationofthisAgreementorofotherobligationofconfidentialityowedtotheDiscloserbytheRecipientoritsRepresentativesafterdisclosurethereofbytheDisclosertotheRecipient;or(2)esavailabletotheRecipientonanon-confidentialbasisfromasourceotherthantheDiscloserwhoisnotunderanyobligationofconfidentialityorrestrictionofusetotheDiscloserinrespe
