企业兼并是市场经济条件下社会化大生产发展到一定阶段的产物。纵观西方发达国家的经济发展历程,企业兼并始终贯穿其中,并扮演了及其重要的角色。我国改革开放以后,企业兼并也开始出现,并随着社会主义市场经济体制的建立、证券市场的兴起和国有企业股份制改造的加快而迅猛发展。兼并作为企业扩大规模,增强实力,提高效率,不断实现股东价值最大化的重要手段之一,是一项综合经济行为,涉及到的财务问题众多且复杂,因此对企业兼并中相关财务问题的研究十分必要。
本文在分析企业兼并的形式和发展,阐明财务问题对企业成功兼并的重要性的基础上,对企业兼并中目标企业的搜寻和价值评估、兼并的支付方式和资金融通、兼并后的财务整合等财务问题的处理方法进行比较深入的研究,并结合案例进行分析。

Abstract
Enterprise merger is under the conditions of market economy socialized production developed to a certain stage of the product. Looking at the western developed countries of the economic development, the enterprise merger always perforative among them, and plays an extremely important role. After the reform and open policy, our country enterprise merger also begins to appear, and with the establishment of the socialist market economy, the rise of the securities market and state-owned enterprise shareholding system reform speeding up and rapid development. Mergers as enterprise expanding scale and enhance strength, improve efficiency, continuously realizes to maximize shareholder value, is one of the important methods of prehensive economic behavior, involves the financial problem are numerous plicated, so to enterprise merger of financial problems related to the study is very necessary.
Based on the analysis of enterprise merger of form and development, expounds the financial problem of enterprise ess mergers, on the basis of the importance of enterprise merger in the target enterprise search and value assessment, merger payment and financing, mergers after financial integration of financial problems of processing method are more thorough research, bining of case analysis.
