摘要
随着现代经济向着世界一体化,全球化方向发展,世界上许多著名的上市
公司都采取了兼并收购的经营战略实现其在经营管理上的发展,而上市公司并
购理论也使得越来越多的人相信通过这条道路可以在波云诡谲的经济竞争中处
于优势地位。很多案例也充分表明大多数公司是通过兼并收购在很短的时间里
获得巨额财富。国际金融危机的蔓延导致了许多发达国家的经济出现衰退,而
对于中国的经济发展无疑是一个机遇,也是一种挑战因为这对于资本市场开放
度并不是很高的中国来说,在丰厚的收益背后还孕育着巨大的风险。控制权转
移是并购战略中重要的一环,对于提高上市公司的并购经营绩效起着重要的作
用。本文是基于这样的背景而展开分析研究的。
本文通过具体案例和实证分析相结合的研究方法对我国上市公司控制权转
移对并购绩效的影响进行研究。首先本文阐述了选题的背景和意义,本文认为
通过对上市公司控制权转移并购绩效的影响进行分析研究,能够带给公司监督
者及其管理者重要的建议性的价值,并且对加快我国市场化进程以及提高资本
市场的整体效率有着重要的理论意义。通过近年来国内外著名上市公司控制权
转移的并购案例找出适合我国上市公司并购的方法,并且通过相应的经验教训
为我国开展控制权转移并购战略带来启迪性的作用;其次,本文选取我国
年和年进行控制权转移并购的上市公司为研究样本,选取相应的财务指标
和财务数据,并采用描述性统计和样本检验的统计学方法对其进行实证分析。
最后,本文就如何提高我国上市公司控制权转移的并购绩效提出了具体性
的政策以及建议,并提出本文的局限性以及不足。

Abstract
With the development of the globalization of modern economy, more and more famous listed
companies hold on strategy of merger and acquisitions to plish the development of operation
and management. The theory of M&A bring advantages for the panies among the forcibly
competition. Most cases also show that more and more corporate will gain huge fortune in the short
time by strategy of Merger and Acquisitions. The International Finance Crisis leads to economy
decrease among many developed countries, but in another hand, this is the opportunity, and also the
challenge to China, because the strategy hides huge risk at behind of benefits. The transfer of
control rights plays a very important role in the strategy of M&A and it benefits for the operate
performance of panies. So the thesis takes analysis and research based on these
backgrounds.
This paper analyzes the M&As’performance of national panies’ transfer of control
rights by using M&A cases and empirical studies. In this paper, the background and meaning are
introduced first, the thesis believes the analysis and research of performance of panies
whose controlling stockholders
