交通基础设施建设中引入BOT投融资方式的法学研究

摘要
文章分析了我国目前关于的立法现状,认为立法滞后,合同双方
权利义务缺乏法律保障,令投资者望而却步,建立健全立法已成为发展
方式的当务之急。指出山西省发展投资的有利条件及融资方式将给山
西带来的一些经济促进作用,同时指出了现行法规的主要法律障碍,一是
对政府担保的限制性或禁止性规定,二是对项目范围的限制,三是关于投
资回报率方面的法律障碍,并举我省一条高速公路的实例进行说明,旨在
建立具有中国特色的法律框架。
文章借鉴我国和外国的实践经验,运用法律分析的方法,在法学领域内对
投资项目进行研究探讨,把投融资模式置于法学体系中,对其法律性
质、法律特征和主要内容进行分析,从容揭示其内在的规律和问题,对我国进
行专项立法提出建议。

Abstract
The article has analyzed our country at present about the BOT legislation
present situation, thought the BOT legislation lag, the contract both sides right duty
lacks the legal safeguard, shrinks backat the sight the investor, establishes the
perfect BOT legislation to e develops the BOT way urgent matter. Pointed
out Shanxi Province will develop the BOT investment advantage and the BOT
financing way some economy promoter actions which will bring to Shanxi,
simultaneously has pointed out the present BOT law sand regulations main legal
barrier, One, guarantees restrictive or the prohibition stipulation to the government,
two is to the BOT project scope limit, three is about the investment repayment rate
aspect legal barrier. Develops simultaneously an our province BOT highway
example to carryon the explanation, is for the purpose of establishing has the
Chinese characteristic the BOT law frame.
The article profits from our country and the foreign experience, the utilization
law analysis method, carries on the research discussion inthe legal science domain
to the BOT investment project, throws BOT the financing pattern to set in the legal
science system, to its legal nature, the legal characteristic and the main content
carries on the analysis among them, calmly promulgates in the rule and the
question,carry on the BOT special legislation to our country to put forward the
proposal.
