论经济法视野下企业社会责任法制的完善
摘要
企业在市场经济中处于优势地位,其履行社会责任的程度直接关系着市场经济的发展。
在市场经济高度发达的现代社会中,政府如何发挥法律的作用,来促使企业积极地履行社会
责任,已经成了社会关注的焦点问题。
笔者首先从企业社会责任的基本理论入手,运用了历史分析法,分析了我国企业社会责
任法制的历史演变轨迹,分析了目前存在的具体问题,特别是在奶粉事件、吉林水污染事件、
山西矿难事件频频发生之后,如何完善我国企业的社会责任法制建设已经成为迫在眉睫的问
题。然后,运用比较分析的方法,分析了美国、日本、英国、德国企业社会责任的法律规定
及可借鉴之处。最后,提出了完善我国企业社会责任法制的建议。本文共分为四部分:
第一部分首先从理论角度说明了企业社会责任的基本概念及意义,阐述了经济法视野下
企业承担社会责任的意义;其次,从经济法的三大价值着手,论述了完善企业社会责任法制
的必要性。本文认为企业履行社会责任对维护社会正义、提高社会效率、实现经济自由与经
济秩序的统一有良好的促进作用。
第二部分主要阐述了我国企业社会责任法制的演进过程,通过分析现状指出了企业社会
责任法制建设中存在的问题。根据我国各阶段法律状况的不同,企业社会责任法制的发展分
为四个不同的历史发展阶段,其中年的《公司法》的实施更是企业社会责任法制化进程
中的里程碑,标志着企业社会责任法制的建设进入到了崭新的阶段。但是,我国企业社会责
任法制仍然存在问题,需要国家通过加强立法来完善。
第三部分介绍了美国、日本、英国、德国四国关于企业社会责任的特色法律制度和共同
特征,即这些国家都很注重非政府组织在督促企业承担社会责任中的作用,将政府、企业、
非政府组织、社会媒体等在法律的规定下成功结合,避免了相互割裂阻碍企业发展的现象。
第四部分是在理论基础之上,面对我国现存问题,在将国外的先进制度与我国的实际国
情结合起来的基础上,笔者在经过仔细考虑后,提出了相应的解决措施,以完善我国的企业
社会责任法律制度。
笔者试图通过本文建立一个符合我国市场经济发展阶段的,企业主动承担社会责任的法
律体系,期望企业社会责任能被纳入国家的法治化进程之中,对我国市场经济的发展有所帮
助。

Abstract
In the market economy, enterprises are in a dominant position. Its degree of social res
ponsibility is directly related with the development of a market economy. In the highly dev
eloped market economy of modern society, the government how to play the role of law an
d encourage enterprises to fulfill their social responsibilities actively has e the focus
of social concern.
In this essay, author use the method of historical analysis parative analysis. Firs
t of all, from the basic theory of corporate social responsibility, I use the way of historical
analyze the historical evolution of corporate social responsibility and the current specific pr
oblems, particularly in the milk Events, water pollution incident of Jilin, mine incidents of
Shanxi. How to improve our corporate social responsibility has e an urgent problem.
