摘要
随着国有资产监管体制改革的深入,国有资产转让是实现改革的主要方式,具有重要
意义:实现国有资本的重组分配;使产业组织结构调整与市场经济中的资源配置有机结合
起来,实现产业部门间资产的合理流动;是“经济结构战略性调整”的主要方式之一;有
利于政府的宏观调控和经济发展方式转变。然而,以企业国有资产转让为主要方式,进行
国有资本重组和企业改制等改革以来,国有资产流失和流转不规范成为突出问题,政府监
管制度失衡,其他监督制度与政府监管制度的不协调是问题产生的根源所在。解决企业国
有资产流失和流转不规范的问题,必须从整体上进行制度的结构性调整,在制度设计和制
度运行中运用法律手段推动和控制监管权限,建立健全监督制度。因此,为完善企业国有
资产政府监管,必须将企业国有资产监督和政府监管法律责任追究机制尽快纳入制度化、
法治化的轨道上来。
鉴于此,本文以《企业国有资产的监管制度研究——以企业国有资产转让为中心》为
论题,探讨如何完善企业国有资产监管制度,建议构建协商监管制度,完善法律监督制度,
全面规范国有资产的有序流转,防止企业国有资产的流失。

ABSTRACT
As the reforms in state-owned assets supervision system gradually deepened,the transfer of
state-owned assets is the prominent mode of realizing economic structural adjustment,and it is
also of great significance in many aspects:to realize the state-owned assets restructuring;to
combine the industrial structure adjustment and market economy and achieve reasonable flow of
the state capital;to be a main way of strategic adjustment of economic structure ;to make for the
macroscopic readjustment and the reforms in economic development mode. However,with the
ration of reforms in state-owned assets supervision system and state-owned enterprises,the
loss of state assets and the transfer of non-standard have e the prominent issues. These hot
spot questions attribute to the unbalance in supervision system and lacking coordination of
supervision systems. Therefore, the structural adjustment of systems,system design and system
operation are foundamental. They rely on legislation to clear about and control government
supervision, coordinate the supervision systems,prosecute the violators. In brief, government
supervision is the key point in the supervision systems. Accordingly,it is necessary to improve
and strengthen the legal supervision to the government responsibility, and put the supervision right
into pract
