文档介绍：上海交通大学硕士学位论文我国上市公司风险投资现状问题研究姓名:张云峰申请学位级别:硕士专业:工商管理指导教师:陈琦伟 20050612 我国上市公司风险投资现状问题研究摘要本论文分为四部分。第一章介绍风险投资的定义、主要特征和运行机制,阐述了风险投资的经济意义,并分析了我国风险投资发展现状。第二章主要对上市公司风险投资现状和动因进行分析。阐述了上市公司风险投资的意义和优势。提出上市公司风险投资不仅有利于上市公司质量的提高,而且有利于我国风险投资业整体实力的增强,有着一般风险投资机构所无法拟的优势。文章还从地域分布、投资强度、效益等方面对上市公司风险投资现状进行了分析。在现状分析后,对上市公司风险投资的动因进行分析,归纳出上市公司风险投资存在三大动因——财务动因、战略动因和非理性动因。第三章对上市公司风险投资运作模式进行分析。首先,分别介绍了上市公司介入财务性风险投资和战略性风险投资的几种模式,并对每一种模式的特征和优劣进行了分析。接着在分析决定风险投资能力关键因素的基础上提出了上市公司财务性风险投资模式矩阵和上市公司战略性风险投资模式矩阵,并运用矩阵对几个上市公司风险投资典型案例进行分析,通过实例对矩阵进行验证。最后,提出了上市公司风险投资的方向性策略。认为上市公司应优先考虑战略性风险投资。战略性风险投资更有利于发挥上市公司的优势,是实业资本和金融创新的结合,具备的成功要素多于财务性风险投资。上市公司在进行财务性风险投资时则应更多采取行业聚焦策略。第四章是在总结全文的基础上对上市公司风险投资存在的问题进行分析并提出建议。提出上市公司风险投资应该减少非理性动因,提高投资决策质量;应该科学选择投资模式,鼓励战略性投资;应该加快建立和完善风险投资的退出渠道;应该完善法律体系,改革税收政策,加大对风险投资业的支持力度。关键字: 上市公司,风险投资,战略性,财务性 THE RESEARCH OF OUR COUNTRY LISTED COMPANY VENTURE CAPITAL INVESTEMENT ABSTRACT The paper is made up of 4 parts. The first part introduced the definition of venture capital investment, elaborat ed the economy meaning of venture capital, analysis the status of ventur e capital investment in our country. The second part analysis the status a bout panies venture capital investment and explored the listed-co mpanies motivation for venture capital investment. This part also discusse d the significance and advantages, point out that panies venture i nvestment could not only enhance the panies quality but also promot e the development of venture capital investment. This part analyzed the charac ters at place, prof it and so on. The paper thought that there are three kinds of motivation, finance motivation, strategic motivation and personal motiva tion. The third part analyzed the operating mode. At first, this part in troduced the modes of VC investment. After that the paper point out the liste pany's mode matrix of venture capital investment, and used the matrix to analysis several case. Thought that, the matrix was proved again.
