涉外合同的种类、结构及语言特点
1．涉外合同的种类、结构
种类：⑴国际货物销售合同；⑴国际技术转让合同；⑴中外合资/合作经营企业合同；⑴
国际工程承包合同；⑴补偿贸易合同；⑴中外合作开采自然资源合同；⑴涉外劳务合同；
⑴国际租赁合同；⑴涉外信贷合同；⑴国际 BOT（Build-Operate-Transfer）投资合同。结构：前言、正文和结尾
前言部分包括当事人的名称或者姓名、国籍、主营业务或者住所及合同签订的日期、地点
。前言主要明确合同的主体是谁；合同各方是否具有合法主体资格；合同及合同争议应适
用的法律；合同履行地点；合同生效、终止、履行日期及争议时的司法管辖权。
例 1：一则补偿贸易合同的前言部分
This contract is made and entered into in Beijing this 18th day of March,
2001, by and between ABC corporation, a corporation duly organized and
existing under the laws of the People’s Republic of China with its domicile
at Shanghai (hereinafter referred to as “Party A”) and XYZ company, a
company incorporated and existing under the laws of the United States with its
domicile at Atlanta (hereinafter referred to as “Party B”),
WITNESSETH THAT:
WHEREAS Party B has machines and equipment for Party B’s manufacturing of
auto safety belt and is willing to sell to Party A the machines and
