商务合同翻译
I. 商务合同的种类
按格式繁简的不同,分为
正式合同 Contract
协议书 Agreement
确议书 Confirmation
备忘录 Memorandum
意向书 Letter of intent
中文的合同开头一般先罗列当事人的名称、姓名、住所或营业场所,然后是合同正文,结尾是当事人印章、授权代表签字、职务及日期。
英文合同一般以下面这类句式开头:
This CONTRACT is made this _______day of_________ in (place of signature) by and between (name of one party), a corporation anized and existing under the laws of (name of the country) with its domicile at ( address ) ( hereinafter referred to as Party A) and (name of the other party) a corporation anized and existing under the laws of (name of the country) with its domicile at (address) (hereinafter, referred to as Party B).
II 商务合同的结构

….It is hereby agreed as follows
或
WITNESSETH, WHEREAS….
NOW THEREFORE, for and in consideration of the mutual covenants and agreements contained herein, the parties hereby covenant and agree as follows.
接着是正文
最后是证明部分:
IN WITNESS WHEREOF,the parties hereto have hereunto set their hands the day and years first above written.(双方于文首日期签署本协议,特此为证)
随后还包括当事人和见证人的签字。

4) Recitals or WHEREAS clause (定约缘由)
WHEREAS, Seller is engaged in dealing of (product) and desires
to sell (product) to Buyer,

Now, THEREFORE, it is agreed as follows:
Whereas Party A is willing to employ Party B and Party B agrees to do as Party A’s engineer in Beijing, it is hereby agrees as follows.
鉴于甲方愿聘请乙方,乙方同意应聘为甲方在北京的工程师,双方协议如下:
In consideration of the mutual covenants and agreement herein contained, the parties agree as follows.
