摘要
当前我国正加大力度实施“走出去”战略,为保证该战略的顺利实施,必
须有相应的法律法规予以支持,但是我国对外投资立法存在严重的不足,例如
我国尚未颁布对外投资法基本法,仅有商务部于 2009 年发布的《境外投资管理
办法》,它是我国当前实施“走出去”战略的主要法律依据。该办法规定十分原
则,对我国企业走出去后可能遇到的相关法律问题并未涉及。因而,如何对海
外投资行为施行有效的法律规制和保障是摆在我们面前的一大问题,本文将从
以下几方面着手就我国海外投资制度的构建进行阐述:
首先,本文从“走出去”战略的基本问题着手,介绍“走出去”战略的涵
义及其形成过程,进而分析其与我国民族经济存在何种关系。
其次,在当前金融危机的背景下,分析我国海外投资所面临的一些主要法
律问题,包括投资准入问题、投资待遇问题、投资保护问题、环境标准问题以
及劳工权利问题等。并且结合国际上海外投资立法的发展状况,进一步分析我
国海外投资立法的现状,进而发现我国海外投资立法的不足之处。
最后,结合我国当前的实际情况,并且借鉴美国、日本等国的先进立法经
验,就海外投资立法提出相关建议,具体涉及海外投资保险立法、投资前行为
规范立法、投资后监督立法、投资税收优惠立法、双边和多边投资立法、投资
与环境立法、劳工立法以及投资中的反不正当竞争立法等。

Abstract
Our country is now increasing its efforts to implement “China’s strategy of
going out ". In order to ensure the strategy implement smoothly, there must be
appropriate laws and regulations to support it, but China's legislation of foreign
investment is deficient seriously. Therefore, how to regulate and protect the overseas
investment behavior effectively is a big problem that we are facing, this paper will
describe the construction of overseas investment regime by the following aspects:
Firstly, This paper starts from the basis of “China’s strategy of going out", and
then introduces the meaning of “China’s strategy of going out" and its formation,
after that , it analyzes the relationship between " China’s strategy of going out " and
our national economics.
Secondly, under the current financial crisis, the paper analyzes some major
legal issues of the overseas investment we are facing; it includes issues of
investment in access, treatment of investment, investment protection, environmental
standards and labor rights and so on. With learning the international development of
