摘要
本文旨在对跨国公司在华履行社会责任的现状及其问题进行研究。
企业社会责任自发端以来由一种企业经营理念发展到企业行为再到社会责
任国际标准,时至今日己经成为各国学者、立法者、企业经营者、股东和社会各
界都十分关注的一个热点问题。近年来,企业社会责任的理论和实践正在对中国
社会有关领域产生着日渐明显的影响。
中国在推行改革开放和市场经济建设的过程中其法制与经济日益融入世界
发展的大舞台当中,尤其是在加入 WTO 后,与国际接轨的程度将越来越高,跨国
公司在华的社会责任与传统企业理论强调的“企业利润最大化”的经营目标之间
应当如何权衡,都急需从理论上得到回答。
文章首先对跨国公司社会责任的内涵进行了界定。接下来以有关官方数据为
基础,分析了跨国公司在华履行社会责任的表现,并且深入探讨了各种问题出现
的内在原因。此后,文章结合有关理论进行综合分析,对我国监督或者控制跨国
公司在华履行企业社会责任提出相应的改进建议,并对有关的监督、控制体系加
以设计,以期使得有关建议或措施更适中国国情,改善跨国公司在华履行社会责
任的情况,增加我国应获得的实际利益。
接下来运用博弈论方法,围绕社会责任的问题,分析了跨国公司自愿性社会
责任行为的产生,以及东道国政府对这种责任行为的激励和促进措施。进而得出
了双赢的结论——履行社会责任的长期收益是跨国公司自身和中国社会的可持
续发展,为文章的研究奠定了理论基础。
在理论研究之后,针对前文考察过的跨国公司在华履行社会责任现状,笔者
将跨国企业在华履行社会责任弱化的原因归纳为以下三大方面,包括:相关立法
和奖惩制度不完善、部分地区存在对其超国民待遇的误区、利益相关者的制衡机
制薄弱。最后,结合理论综述中的跨国公司履行社会责任的途径,建议从法律、
监管等宏观层面、利益相关者的中观层面和跨国公司自律的微观层面着手,构建
全方位的跨国公司社会责任实施机制,以其在改善跨国公司在华履行社会责任现
状的同时,也对我国构建社会主义和谐社会起到促进作用。

Abstract

This paper is aim to make the research of current condition and problems on
multinational enterprises’ carrying out corporate Social Responsibility (CSR) in
China.
The thesis begin with the definition of MNE's CSR, then take the example of
current condition of transnational corporations’ practice to make the contrast and
research on carrying out CSR in China.
In the following, the paper revolves around the problem of social responsibility,
uses the game theory to analyze two sides: the rise of voluntary social responsibility
actions of MNEs and the encourage and promotion to the CSR movement by the host
country goverment. Thus arrive at a win-win conclusion:The long—term profit of
carrying out CSR will bring about the sustainable development of transnational
enterprise itself and China society. All of the above make the theoretical foundation
for the following research.
