中小企业是推动浙江经济和社会发展的重要力量,自2004年6月25日,“中小企业板”正式启动以来,浙江中小板企业整体发展状况良好,平均业绩好于辖区总体平均水平。本文首先对浙江中小板上市公司治理财务绩效研究背景和研究意义进行了分析,在对相关文献回顾的基础上设计了浙江中小板上市公司治理财务绩效的技术路线。其次对治理财务绩效等概念内涵与外延界定的基础上,结合91家样本公司的实证数据从地区分布、行业分布、行业分布与业务毛利的关系以及企业治理结构与财务治理绩效的关系等方面进行了实证研究。具体结论有:浙江中小板上市公司存在着区域结构、行业结构发展不合理的现象,应不断优化产业结构,平衡发展区域经济;董事长和总经理的两职兼任家族式的管理方式在一定程度上有利于提高公司治理财务绩效,而高管持股比例对对净资产收益率和市盈率有着显著影响,为提高浙江中小企业板公司的治理财务绩效,应实施对高管人员的股权激励计划。
