中文提要
公司经理是公司治理的重要内容,随着公司所有权和经营权的分离以及“经理革
命”的出现,公司经理在公司经营管理中起着举足轻重的作用,经理的权力有扩张的
趋势,并且常常超越了法律框架。
本论文从比较法的角度,对经理的概念、立法上的设置模式以及权力来源、多元
法律关系中代理人、公司机关、公司代表、雇员的多元化角色及与内部主体之间关系
进行了分析,考察分析我国公司现行法律关于经理法律地位规定的缺陷,并提出调整
我国公司法关于经理法律定位及权力的限制问题,希望廓清对公司经理法律地位的思
考,并对一些现有规定中存在不完善之处提出笔者的浅见,藉此抛砖引玉,促进我国
公司经理法律地位相关立法的进一步完善。
本论文由序言、正文和结束语三部分组成:
序言:通过对经理地位的考察研究来完善我国公司经理法律地位权限构建。
正文:由五部分组成。在第一部分,通过对两大法系有关经理概念、特征及比较
研究及经理的设置模式研究来,对经理法律地位进行考察。第二部分,从辨析经理多
元角色及与内部构造中其它主体关系来考察经理的法律地位。第三部分,从经理权及
义务考察经理法律地位。第四部分,通过分析我国公司法有关经理法律地位的缺陷及
原因,来研究经理的法律地位。第五部分,通过比较和借鉴外国立法的成功经验,提
出一系列完善我国公司经理法律地位的意见及建议。
结束语:指出随着现代企业制度的建立,受董事会聘用的经理地位越来越高,享
有的权利越来越大,董事会的控制权被削弱,随着公司的经营逐渐被董事会任命的经
理所把持,经理阶层的独立性和权势,使得公司中各机构权力失衡。对于完善我国经
理法律制度,需要明确经理辅助董事会的业务执行机构的法律地位,并非独立的公司
机关,应加大外观权立法,取消对内部配置的干涉,对经理权进行必要的限制,以避
免或减少我国实践中频繁出现的经理侵蚀公司利益的行为。

Abstract
Manager is the core in the administration of pany, with the occurrence of the
separation of the ownership from management and the revolution of managers. Manager
takes the important role that can not be replaced by anything in the management of the
company, and the power of manager es more and more expanded. This thesis makes
an analysis of the status of a manager as a agency, organ, representative or employee of the
corporate from the conception of a manager, the setting mode of law making and the
source of manager’s power with the method of parative study. This thesis study
and analysis the defects of the legal status of manager stipulated in the current law and
propose the polarization of manager’ legal status, taking an restriction of manager’s power
and expect the dissection of the ponder of the manager’s legal status. This thesis bring
forward humble opinion of the defects in the current stipulation of corporate law in order
to fish out more better opinion
