农村土地承包经营权入股法律问题研究

摘要
土地承包经营权入股作为一种新兴的土地流转方式,对于我国农村发展有
着重要意义。对于土地承包经营权入股,法学方面的研究和相关具体制度的构
建都还不成熟,在实践中面临着很多问题急需我国通过完善法律制度来解决。
本文主体部分结构如下:
第一部分为土地承包经营权入股的基础理论研究,从界定土地承包经营权
入股的概念出发,将本文所讨论的土地承包经营权入股限定为入股有限责任公
司这一方式上,并分析了土地承包经营权入股的意义。同时分析了我国土地承
包经营权入股受到限制的原因,就其可行性进行了分析。
第二部分对我国土地承包经营权入股的历史沿革进行简单回顾,并简单介
绍了我国土地承包经营权入股的具体实践。
第三部分对我国现行法律框架下有关土地承包经营权入股的法律规定进行
了梳理,探讨了我国土地承包经营权入股的法律环境。
第四部分探讨了我国现行法律对土地承包经营权入股存在的障碍。主要讨
论了土地承包经营权估价、土地承包经营权的抵押及入股后股权转让等问题。
第五部分针对上述法律困境与难题,就土地承包经营权入股法律制度的构
建与完善提出了建议。一是土地承包经营权入股法律制度构建应当遵循的基本
原则。另一方面则从土地承包经营权入股制度方面提出了具体的设想。就土地
承包经营权评估作价、土地承包经营权抵押及入股后股权转让等制度的完善提
出了具体建议。同时还探讨了土地承包经营权入股中应当建立的配套制度。

Abstract
As one emerging land circulation way, the land contract and management right shares have the
important meaning regarding our country rural development. Regarding the land contract and
management right shares, the legal research and related system's construction is not mature, it’s
facing many questions in reality and urgently needed us to solve them through the consummation of
legal regime. These article main partial structures are as follows:
The first part is basic study of the land contract and management right shares. By introducing
the meaning, this article discusses the scope was limited to share in Limited pany, then
analyzed the significance of the land contract and management right shares. Simultaneously
analyzed the reason that the land contract and management right shares was restricted in our country,
then carried on the analysis on its feasibility.
The second part simple review the historical evolution of the land contract and management
right shares, and introduced concrete practice simply in our country.
The third part anization the legal rules about the land contract and management right
shares under current law frame, researched the legal environment about it in our country.
