土地承包经营权投资入股的法律问题研究

摘要
土地承包经营权入股是指在家庭联产承包责任制的基础上,土地承包经营
权人将其享有的土地承包经营权作为出资,折价入股企业并取得企业股权的制
度。其中,土地承包经营权入股有限责任公司是近年来新兴的一种土地流转方
式。对土地承包经营权入股进行有效规制,提高农地利用效率,增加农民收入,
是学界和立法者都在积极思考和探讨的问题。当务之急是我们应该考虑如何建
立和完善土地入股的相关制度,使土地承包经营权与现代公司企业制度实现完
美结合,充分提高土地的利用效率。
本文选取土地承包经营权入股有限责任公司为研究对象,系统的分析了
土地承包经营权流转制度和在我国的流转现状,认为土地承包经营权流转制度
建立以来,虽对我国的农场经济发展起到了积极促进作用,但改革潜力还很大,
有必要拓宽流转方式,特别是开辟投资入股有限责任公司的道路。进而对土地
承包经营权投资有限责任公司的必要性和可行性进行分析,在此基础上提出了
制定《农业公司法》及完善相关制度的建议。
本文共分三大部分:
第一部分:阐述土地承包经营权及土地承包经营权流转制度在我国确立和
发展的历史进程,以及土地承包经营权流转的现状和存在的问题。
第二部分:阐释了土地承包经营权入股的基本内容,提出了入股有限责任
公司的法律障碍。
第三部分:分析土地承包经营权入股的必要性和可行性。
第四部分:从农业公司法律制度构建和相关配套制度完善两方面分别提出

建立完善土地承包经营权入股的几点建议。
本文不再如以往学者在土地所有制度上作根本性变革,也不再原有流转制
度上做细枝末节的修补,而是充分考虑到土地承包经营权入股的特殊性,在修
改我国现有相关法律制度的基础上,对规范农业公司提出特别立法建议。

Abstract
The right to land contractual management shares is based on the family contract
responsibility system, the people of their right to land contractual management as the investor,
discounted access to an enterprise's equity stake in enterprises and system. The right to land
contractual management invested the limited pany in recent years, emerging as a
land-transfer mode. Academics and lawmakers are actively considering and exploring some things
that effective regulation the shares the right to land contractual management, to improve agricultural
land use efficiency and increasing their e. We should consider how to establish and perfect the
system of land-related shares, so that the right to land contractual management and the modern
corporate system to achieve the bination to fully enhance the efficiency of land use.
This thesis selected the right to land contractual management shareholding limited liability
company as the research object, systematic analysis status about the contracted land management
