S 保险集团母子公司管控模式研究
摘要
有效的母子公司管控模式是实现集团整体价值最大化和战略发展
的协同性、连续性的关键因素之一。本论文在结合集团相关管控理论的
基础上,提出了集团管控体系涵义,并以此为研究框架,同时通过借鉴
国内外相关集团的管控实践,深入分析了 S 保险集团母子公司管控模式
当前存在的问题,这些问题涉及 S 保险集团的战略、对子公司的股权结
构安排、集团总部定位与职能、组织架构与责权、财务控制、绩效评估、
信息化控制等各方面。根据 S 保险集团的发展实际及未来发展方向,本
文提出,当前, S保险集团母子公司管控模式应以战略控制型为主导。
其相应的解决方案包括:第一,明确管控方向,管控模式需紧密结合 S
保险集团战略。第二,建设控制平台,改善子公司股权安排、调整组织
架构。第三,完善控制手段,一是加强企业文化建设,强化集团凝聚力;
二是强化包括财务体制、预算管理等在内的财务控制;三是从集团整体
利益出发,加强对子公司的关键岗位与关键人员的控制;四是确定合理
的绩效评估原则、选择合适的绩效评估工具、建立完善的指标体系;五
是加强信息技术建设。

THE RESEARCH OF CONTROL MODE
OF S INSURANCE GROUP
ABSTRACT
An effective group control mode should be one of the key factors which
help to maximize the total value of a pany and ensure both the
synergistic effect and continuity of its strategy. In this paper, the integrated
definition of a group control system is put forward on the basis of relevant
group control theories. By using this definition as a research frame, together
with the practices of relevant financial (insurance) groups of domestic and
abroad, the problems existed in group control mode of S insurance group was
analyzed in depth, touching upon strategy, shares holding status of subsidiary
companies, management structures, finance control, performance evaluation
and IT control, etc. Therefore, according to these problems,with its future
development visions, the leading control mode that suits to S insurance group
at es to be ‘strategic control’. A specific solution proposal
consists of three main parts. The first part is orientation, that is, control mode
must be strategy-oriented. The second part refers to management platform,
that is, re-adjust share holding status and management structure and operation.
