摘要

宁夏银星能源股份有限公司经重组之后,逐渐开始向风力发电及设备制造、光伏发电等新能
源领域发展,同时具有政府政策支持、地理环境优越、技术先进等竞争优势,其发展前景良好、
潜力巨大。但由于资金缺乏,同时背负着历史债务的包袱,使公司前进的步伐缓慢。
本文首先从融资一般理论即西方现代融资的 MM 理论、权衡理论、激励理论、不对称信息理
论、控制权理论及中国融资理论的不同观点入手,对国内上市公司融资结构的现状进行分析,形
成对公司融资策略的启示。然后针对企业所处的现状,结合我国上市公司融资的有关政策,采用
定量分析和定性分析相结合的方法,分析了银星能源融资的市场、地域和技术环境,通过调研和
分析为其设计了切实可行的融资方案,促使上司公司优化融资方式。
本文将西方现代融资理论、我国资本结构理论与公司的具体实际相结合,较深入的分析了银
星能源的融资结构和融资方案,对西方理论与我国具体实际的结合有一定参考意义,是对解决上
市公司融资困境的有益探索。

Abstract

After anization in 2007, Ningxia yinxing Energy Co., Ltd. gradually began to wind power
generation and equipment manufacturing, solar power and other new energy development, both
government policy support, geographical location, advanced technology petitive advantages ,
good prospects for its development potential is huge. But lack of funds, while burdened with historic
