摘要

公司经理权法律制度在公司法中具有十分重要的地位,是公司经理制度的核
心。但与此同时,随着公司经理地位的不断提高,公司经理权的膨胀已经严重侵
害到公司和股东的利益。因此,如何完善公司经理权制度,使其既能满足公司经
营管理的需要,又能防止被不法滥用所产生的各种问题,已经引起了世界各国的
普遍重视。
然而在我国,国内学术界对公司经理权问题鲜有论及,对公司经理权基本理
论也缺少系统的认识,公司经理权立法也存在着诸多缺陷,这些都导致了实践中
出现许多问题。由此可见,引进西方国家的公司经理权理论,对我国的公司经理
权制度进行合理的构建迫在眉睫。
本文除前言、结语外,共分为五部分,共计万字左右。
第一部分,论述了公司经理的一般理论,分析了公司经理的概念和法律地位。
第二部分,对公司经理权的基本理论进行分析,深入探讨了公司经理权的概
念、范围、权能、授予、行使、限制和解除等问题。
第三部分,讨论了公司经理权的平衡与协调制度,分析了公司经理权范围的
确定、公司经理义务的规范、公司经理权激励和约束机制的构造、以及滥用公司
经理权的民事责任等内容。
第四部分,对我国现行《公司法》中的公司经理权制度进行分析,分析了公
司经理权制度的现状、缺陷以及形成的原因。
第五部分,提出了完善我国公司经理权法律制度的设想,如建立、健全公司
经理权的正面维护机制和反面制约机制等。

ABSTRACT

Manager’s power legal system of pany has very important status in the
company law. It is a core of manager’s system of pany. With the improving
constantly of manager’s position pany, the expansion of manager’s power of the
company has already infringed interests of pany and shareholders. So how to
design and standardize manager’s power system pany, make it satisfy the needs
of management and administration pany, can prevent various kinds of questions
that produce because power is abused again at the same time, already caused the general
attention of every country in the world.
In our country, the academia touches upon freshly manager’s power question of the
company, lacking systematic understanding to manager’s power basic theory of the
company,in addition to the absence and faultiness of our corp
