同法》对缔约过失责任作了一般性规定，在我国法律体系中构建起了缔约过失责任制度的基本框架。然而经过几年司法实践检验，这些规定还存在一些不足。笔者不揣浅陋，拟就有关理论和实践问题进行探讨，以求对修改完善这一制度有所裨益。
一、缔约过失责任的理论基础
缔约过失责任制度是依据何种法理来追究有过错的缔约当事人的法律责任？即其理论基础是什么？学说和判例都存在着许多不同观点，但归纳起来比较具有典型意义的有如下四种：②
1、法律行为说。这一学说的倡导者是耶林，他认为缔约过失责任的法律基础是当事人后来订立的合同。当事人在缔约过程中的磋商行为本质上已构成了一种法律行为，尽管当事人意欲订立的合同可能后来并未成立，但其缔约之际的磋商行为已经形成了一种“准备的法律关系”，此种关系具有“类似合同的性质”，而缔约过失责任不过就是违反此“默示的缔结责任合同”的结果。因此，缔约过失行为本质上应视为违反约定的“先合同义务”之违约行为。1911年德国的“软木地毯案”是适用缔约过失责任的第一个判例，即采此观点。在该案中，德国最高法院的判决认为，当事人双方正在进行一个买卖合同的商洽，彼此间形成了一种为买卖而准备的法律关系，此种关系具有类似合同的性质，在出卖人与有意购买顾客间产生了一种法律义
