中文摘要

经营者集中的控制是传统上反垄断法三大实体法制度之一。经营者集中能够
带来相关市场结构的变化,从而可能产生竞争问题。经营者集中控制制度的主要
目的就是通过对经营者集中的审查,对集中可能导致的竞争问题进行评估,通过
许可、禁止和附条件许可等来消除这种集中可能导致的对竞争的危害。韩国的经
营者集中控制制度已经有了 25 年的经验,其经营者集中控制包括了经营者集中
的申报、经营者集中的审查和经营者集中的救济制度等内容。韩国的经营者集中
控制制度也是通过不断地引进和探索而逐步完善的,其中很多的制度设计具有其
特色,例如事后申报制度和救济制度。中国的反垄断法历史还不长,目前属于起
步阶段,但是已经取得了很大的成就。从已经公布的案件来看,中较高,但是在相关制度涉及上仍需继续探索。
韩国的经营者集中规制的立法执法经验很多是值得中国借鉴和学习的,同
样,韩国也需要向中国学习。中韩两国应当在未来的反垄断法中加强交流和合作,
相互学习,求同存异,对两国制度的完善将会得到一个双赢的结果。

Abstract

The regulation upon concentration of undertakings is among the three major
substantive antitrust laws. Concentration of undertakings may lead to the market
structure change, which may thereby lead petition problems. The regulation
upon concentration of undertakings primarily aims at evaluating the potential
competition problems through prior or post examinations, eliminating the potential
harm petition through permission, prohibition and conditional permission.
Korea has a 25-year long experience in concentration regulation. Korean regulations
include prior notification, examination upon concentration, remedies, etc. Korean
concentration regulations develop through absorbing foreign legislations and
exploring its own practices. Many of those regulations have special features, such as
post-notification as well as remedies. China’s antitrust law system had just launched
for a few years, but has made great achievements. The published cases have shown a
highly skilled concentration regulation practice. However, there’s still much room to
improve in some rules.
Korea and China might learn from each other in concentration legislation and
practices. Such interaction should bring about a win-win result through the efforts
from both sides.
