基于电子商务上市公司价值评估理论的应用研究
摘要
自上个世纪 90 年代末以来,我国企业在参与电子商务实践方面
取得了显著进步,电子商务的发展有力地支持我国信息产业迅速成长
为国民经济的重要支柱产业。随着电子商务的深入发展,电子商务企
业的价值评估日益成为人们关注的焦点。但与电子商务快速发展的要
求相比,电子商务企业价值评估理论、方法的研究显得非常薄弱,对
电子商务企业价值评估还停留在传统估值方法研究上。电子商务企业
商业模型、盈利模式的更新速度快,使得传统评估方法难以公允地反
映评估对象的真实状况。此外,我国也缺乏对电子商务企业估值这方
面系统的总结。因此,笔者认为有必要对电子商务企业的估值进行系
统的研究,在传统估值理论的基础上,形成电子商务企业估值的基本
理论和方法体系。
论文分成六个部分,第一部分先介绍了研究背景与研究意义、国
内外研究进展、本文的研究思路及研究成果。第二部分在认真分析国
内外电子商务企业价值理论研究现状的基础上,首先对论文的研究对
象电子商务企业做了概念上的界定。接着论文重点探讨了电子商务方
式转型给传统企业带来的价值提升,揭示出电子商务企业的价值来
源。然后,在与传统企业比较的基础上分析电子商务企业的估值难点,
并引申出电子商务企业估值的特殊原则。基于电子商务发展的特殊
性,本文还提出基于企业不同生命周期阶段应采用不同的估值方法选
择的观点。本文的第三部分和第四部分从实践应用的角度出发,先对
传统估值方法和实物期权法进行介绍,并对这些方式进行适用性分
析。第五部分是实物期权法的应用,采用实物期权法对亚马逊公司进
行估值,这部分还直接运用了期权博弈理论中的公式,对亚马逊公司
的增长期权进行了定量估算。论文的最后是对电子商务企业价值评估
方法的总结。

RESEARCH ON APPLICATION OF VALUATION
METHODS BASED ON PANY
ABSTRACT
Since the late 90's century, enterprises in our country made evident
progress in taking part of merce process, which strongly promote
the information industry to e one of core parts of our national
economy. Meanwhile, with the deep development of merce, how to
evaluate merce enterprises has drawn people’s attention. However,
compared with the fasted development of merce, the study of
valuation theory and methods in this area is far from perfect. So far, there
is no systematic introduction of valuation methods of merce
enterprises. So it is of vital importance to do some research on the
question of evaluating merce enterprises.
This thesis posed of six parts. In the first chapter, on the basis
of summarizes and analyzes the current situation of valuation theory both
in home and abroad, writer analyzed the necessity of this research and the
structure of this thesis. Then writer emphasizes the value added by the
