五粮液股份公司股利政策研究——基于股利迎合理论

摘要
合理的股利政策有利于平衡公司的长远发展与股东的现期收益,有利于平衡不同股
东群体之间的利益,并对资本市场的发展有着重要的意义。所以,有关股利政策的研究
一直受到国内外学者的关注。本文综合借鉴股利政策的多家研究成果,以股利迎合理论
为基础来研究五粮液股份公司的股利政策。文中利用五粮液公司历年的分配方案、各项
财务数据,选取考量标量,验证股利迎合理论是否对五粮液公司所实行的股利分配政策
有解释能力,并对五粮液公司所选择的股利分配方式的原因做出分析。
本文首先对国内目前的股利分配现状做了整体描述,发现像五粮液公司这样低红利
支付的公司不在少数,五粮液公司并不是一个个例。文中还回顾了股利政策研究方面有
代表性的研究成果,最后把研究着眼点定在了股利迎合理论。在第二章中,对股利迎合
理论进行了一个综述,包括该理论提出的背景,假设前提,以及对股利迎合的理论的模
型的简单描述,从整体上认识和了解股利迎合理论。在后面两章分别从理论分析和实证
分析两个角度来探讨五粮液公司的股利政策,分析过程中选择了1998年至2008年十年的
分配数据,从股利分配方式、现金股利支付情况、整体盈利状况等多个方面着手研究,
分析五粮液在政策选择方面的依据和造成的影响。五粮液股份公司股利政策整体上具有
高增长率、高增值、低负债率、低红利支付率的特点。经过实证检验,发现五粮液公司
在制定是否发放现金股利的政策时,并没有明显迎合广大中小股东意愿的偏好。对这种
现象进行深层次的探讨,进一步发现五粮液公司制定股利分配政策更多的做出的有利于
大股东利益的选择,中小股东只是在被动的接受。
最后,本文针对研究发现提出了一些政策建议,分别从五粮液公司管理制度和国家
法规制度两个角度来阐述,涉及公司治理、股权改革和投资理念规范等多个方面,希望
在更合理的制度基础上规范五粮液公司的股利分配行为,兼顾各方面利益,特别是保护
中小股东的利益不受侵害。每一个上市公司的良性发展才能推动整个资本市场的健康发
展,所以重视广大股东的意愿需求才是上市公司发展的基石,也是资本市场逐渐走向成
熟的标志。

Abstract
A reasonable dividend policy conducive to the balance pany's long-term
development and the current e of shareholders, also coordinate the interests between
different groups of shareholders, it is very important to the development of the capital market.
Therefore, the research on dividend policy has attracted the attention of many scholars. In this
articl, I reference number of studies of dividend, use the catering theory of dividends to study
the shares of pany's dividend policy. In this paper, I use the distribution plan
of every year, some financial data,select consider scalar, verify whether the dividend of
pany to meet the catering theory, and analyze the reason of Wuliangye
company's dividend distribution.
