摘要

随着我国市场经济的深入发展,经济领域出现了大量隐名股东现象,因隐
名股东所引起的纠纷频繁发生。由于我国立法没有明确指引,隐名股东需要解决
的首要问题即隐名股东资格认定问题具有不确定性。本文试图从隐名股东基本理
论入手,通过对隐名股东相关法律关系进行法理分析、考察不同法系国家和地区
的立法例,结合我国立法现状,回答这一在理论研究及审判实践中亟待解决的问
题,以期对完善我国隐名股东立法有所裨益。
本文共分七部分,除引言和结论外,从以下五个方面探讨了隐名股东资格
确认的有关法律问题。第一部分分析了隐名股东的基础理论。对隐名股东的概念
进行了定义,并介绍了隐名股东的特征,在此基础上,对隐名股东与相关概念进
行了比较分析,确定了隐名股东的基本内涵。第二部分从理论界角度,探讨了隐
名股东资格的确认问题,首先介绍了我国学者对隐名股东资格问题的认识;其次
介绍了其他国家学者对隐名股东资格问题的研究。第三部分从司法实践角度,对
隐名股东资格相关案例进行了介绍,并对实践中认定隐名股东资格的原则进行了
归纳。第四部分强调了对隐名股东资格进行确认的必要性。第五部分就如何确认
隐名股东资格提出了立法建议。

Abstract
With the advancing development of the market economy of our country, the
phenomenon that the economic field has presented a large number of dormant partners,
the dispute caused by dormant partner frequently takes place. Without specific
reference in legislation in our country, the prime issue regarding this phenomenon, .
the certification of dormant partner’s qualification es uncertain. This paper
attempts to study the basic theory of dormant partners, legally analysis the
qualification of the related legal relationship of dormant partners, study the legislations
of the different legal systems of countries and regions, to answer the problems in the
theoretical research and trial practice, and benefit our country law-making about the
dormant partners.
This paper contains seven chapters, besides introduction and conclusion,
discussing the related issues of the certification of dormant partner’s qualification in
five chapters herein. The first part majorly studies the dormant partner basic theory. In
the base of analysis of the dormant partner’s concept and characteristics, I identify the
basic contents of the dormant partnership paring its concept with other related
