中文摘要

由商标权与商号权所引发的冲突纠纷在实践中愈演愈烈,已经成为知识产权
保护的热点和难点问题。对解决此类纠纷现有法律规定的不足、实践执行不力,
造成理论界、司法界对其中诸多问题产生争议,加深了处理的难度。本文试图将
商标权与商号权的冲突放置于权利冲突的大背景中,通过对商标权与商号权的特
征、权利内涵及价值来源的分析,归纳出两权冲突的形式、本质,探寻冲突的主
要原因。通过剖析我国现有规范及制度在解决相关冲突方面的不足,并从比较法
的角度借鉴外国法的立法经验,为合理界定商标权和商号权保护的法律体系和管
理体系提供立法建议,探讨解决两权冲突的有效途径。本文主要从三个方面探讨
商标权与商号权。第一部分为商标权与商号权概述。通过对商标、商标权的分析,
明确了其价值来源和权利内涵。通过对商号定义、特征的分析,得出商号权权利
属性为兼具知识产权和人格权属性的商事人格权的结论,从而明确了其权利内涵
及价值来源。通过对商标权和商号权的全面分析,再从两个案例入手分析出两权
冲突的形式、本质和原因。第二部分是关于商号权与商标权制度冲突的研析。该
部分主要分析了我国商标和商号立法体系,尤其是对商号有关制度的分析,总结
出商号权保护制度本身存在的诸多缺陷。通过对商标权和商号权交叉保护规定的
分析,总结出我衡冲突的制度缺陷。第三部分为商标权和商号权同等保
护的制度构想和完善,通过对国际和国外立法对商标权和商号权冲突的制度规定
的比较分析,结合前文分析的我国立法和管理体制的缺陷,从完善解决冲突的立
法体系和法律救济等方面提出相关建议。

Trademark and Trade Name
Abstract
The conflicts and disputes triggered by the rights of the trademark and trade name
are increasingly fierce in practice,it has e a hot and difficult problem of the
protection of intellectual property rights. But there are some problems in solving this
kind of dispute such as the deficiency of existing laws and regulations , inadequate
enforcement practices, both result in many difficulities in academic domain and
judicial domain, then deepen the processing of difficulty.
The conflicts between the rights of trademark and trade name are attempted to be
placed into the background of the conflicts of rights in this article,then sum up the form
and the essence of conflicts between the rights of trademark and trade name, as well as
find the main reasons for conflicts by analysing its characteristics,rights connotation
