甲乙双方基于公平、诚信、共赢的原则,在中华人民共和国指定之跨境贸易区域内进行跨境电子商务的贸易合作。甲乙双方根据《中华人民共和国合同法》及相关法律法规规定,签订本跨境电子商务合同(以下称为“本合同”),以期双方共同遵守并执行。
In the principles of honesty, fairness, mon win, both parties hereby agree to carry out cross-border merce trade cooperation in free trade zones and bonded areas of the People’s Republic of China. pliance with the Contract Law of the People’s Republic of China and the relevant laws and regulations, the three parties herein agree to enter into and sign this Cross-Border merce Direct mail Agreement (hereinafter referred to as “the Agreement”).

境内:中华人民共和国(除香港、澳门、台湾以外)的大陆地区
境外:上述“境内”区域以外的地区
终端消费者:直接在电子商务平台上实施挑选,购买,付款等行为的个人,是整个商品流通过程最后环节的执行者。
跨境电子商务平台:指跨境通, 天猫国际,万国优品,京东全球购,乙方自有平台等双方协商确认的跨境电子商务平台。
直邮服务:本协议所指的直邮服务指境内终端消费者通过乙方在跨境电商平台上开立的虚拟店铺中对甲方所有的产品提交订单并向乙方完成支付,乙方以此作为终端消费者向甲方进行某特定产品购买的邀约。
付款渠道:指终端消费者在乙方经营的跨境电子商务平台购买货物后,将钱款支付至乙方账户或其他第三方账户的方式(包括但不限于支付宝,微信支付,信用卡支付等)
Basic Definition
The Mainland of China: People’s Republic of China (excluding Hong Kong, Macao and Taiwan)
Foreign Lands: the other territories except the mainland of China
Consumer: individuals who choose, buy and pay on merce platform. They are the last step of the modity circulation.
Cross-border merce platform: the cross-border merce platforms such as KJT, Tmall Global, WGYP, JD Global and the cross-boarder merce platform owed by party B and other platform that have been agreed upon by both parties.
Direct Mail Service: The “direct mail service “mentioned here means that in the mainland of China, in regard to products owned by Party A, consumers place order(s) and settle payment to Party B through online stores in cross-border merce platforms that owned by Party B, which can be regarded as a buyer-seller relationship between Party A and consumers.
Types of Payment: the way or method that consumer pay for goods on merce platform(s) managed by Party B to Party B’s account or other third Part
