摘要
资本运作在我国尚处于发展阶段,虽然不够成熟和完善,但资本运作对企业和证券市场的发展却有非常重要的作用。在我国众多的资本运作应用成功与失败的案例中,TCL在它的成长过程中所使用的资本运作手段是值得后人借鉴的。本文以TCL为例,采用理论研究与案例分析相结合的方法,在资本运作相关理论的基础上,依托TCL的财务数据,利用其公开财务报表,结合实证,对TCL资本运作的原因、过程及结果进行分析,并根据TCL的资本运作过程,考察资本运作对企业多方面的影响。本文共分为四部分进行分析:第一部分为资本运作的理论知识介绍,包括资本运作的内涵和作用,并重点介绍了资本运作的基本方式;第二部分从公司简介、资本运作背景和发展历程方面介绍了TCL公司的成长背景;第三部分从TCL的整体上市、海外并购和强强合作等方面具体分析了TCL主要的资本运作手段,特别是TCL集团的整体上市更被看作是企业集团资本运营的一个里程碑;第四部分从成功、失败和主辅兼顾等方面得出了TCL资本运作的启示。

Abstract
Although it has not developed pleted, capital operation as a developing means in our market economic environment is still a very important role for pany and securities market. In the numerous cases of capital operation, there are much ess and failures. But for TCL, its means of using the capital operation is worth to study . In this paper, combining the theoretical analysis, empirical research and financial data, I investigate the reasons, process and results of the capital operation based on TCL, finding out the capital operation’s influences to our enterprises. There are four parts in this paper: At the first part , I introduced the theory of the capital operation, including the connotation and function, specifically the basic ways of capital operation. At the second part I introduced the background of TCL from its description, environment and development. At the third part, I describe the manners of capital operation in TCL and listed the overseas merger of TCL and its split listed and especially the fully list of TCL which is seen as a milestone in the capital operation. At the last part, I obtained the enlightenment of the capital operation in TCL.
