高层管理团队的职能背景和企业多元化行为的关系研究
摘要:本文试图从理论上分析在公司治理结构中所处不同位置的企业高层管理团队的职能背景对企业多元化行为(多元化程度和多元化进入方式)的影响。理论分析认为当CEO和较多内部董事(与外部董事相比)拥有财务职能背景时,企业多元化水平更高,更倾向于采用并购的方式。

The Relationship between Functional Background of Top Management Team and Corporate Diversification
Abstract: In this paper, we examine how the functional background of top management team may have differential effects on corporate diversification strategies (the degree and entry mode of diversification), depending on the governance position in which these preferences and dispositions are situated. We concludes that the corporate, whose CEO and more internal board (compared to external board) have financial background, prefers higher level of diversification and diversifies through acquisition.
