摘要
项目融资作为国际融资的一个重要分支,是一种以“项目导向”、“有限追索”和
“风险分担”等特点区别于传统的倚重于借款人公司的资信及债务偿还能力的公司融
资方式,并因此在国际上受到项目投资人和借款人的欢迎,成为了大型工程项目建设
和资源开发项目筹集资金的一种重要手段。
项目融资模式是项目融资整体结构组成中的核心部分,它融合考虑了投资结构、
融资渠道和方式、风险分担方式等各种因素。从上世纪 30 年代开始,通过几十年的
实践运用,产生了“杠杆租赁”、“生产支付”、 BOT、ABS 等一些通用的融资模式。
本文从项目融资的起源、现状和发展入手,阐述了项目融资的定义、基本特征及
结构框架。介绍了项目融资的理论和基本特征,着重分析项目融资的结构特点。详细
介绍了“投资者直接安排融资模式”、“通过项目公司安排融资模式”、“以‘杠杆租赁’
为基础的融资模式”、“以‘产品支付’为基础的融资模式”、 BOT 项目融资模式及
ABS 项目融资模式等六种融资模式的结构特点、优劣势以及适用性分析。
本文还介绍了我国铁路建设项目融资的基本现状,着重论述了项目融资在我国铁
路建设中应用的必要性和可行性,并探讨了铁路项目融资模式的选择,表达了项目融
资对促进我国铁路建设的重要意义。
本文还结合项目融资特点,从几个角度论述了我国铁路建设中应用项目融资存在
的一些基本问题,并结合存在的问题提出了一些具体可行的解决办法,具有一定的可
操作性。
文章最后通过案例详细介绍了新建铁路武汉至广州客运专线的具体融资方式,通
过介绍项目背景了解了项目的基本情况。

Abstract
The Project Financing is one of the branches of international finance. This kind of
financing is different from those pany financing methods which depend on
the borrower’s credit status and ability of repay debts by the characteristics of‘Project
Oriented’‘, Limited Recourse’and‘Risk Allocation’. Therefore it is ed by project
investors and borrowers and ing a means of financing for the construction of large
scale infrastructure projects and resource development project.
The mode of Project Financing is the core of the whole structure, it including The
Investment Structure, The Financing Structure, and The Risk Allocation Structure. After
several ten year’s development since 1930’s, The Project Financing has brought forth the
mode of ‘leveraged leasing’, ‘Production Payment’, ‘Build-operate-transfer’, etc.
This thesis starts with the beginning,now and develop of Project Financing,introduce
the theory and basic characteristics of Project Financing,mostly analyse the structure
characteristics of Project Financing; emphatically discuss the structure characteristics,
advantage and disadvantage and analyse of applicability of
