摘要

资产重组在发达资本市场中是企业快速实现其发展战略的重要手段,随着
我国企业制度改革的深入和市场经济的完善,随着重庆的进一步开放和发展,资
产重组也必将在重庆的大发展中扮演一个越来越重要的角色。本文认为重组动因
不一样企业采取的重组行为也有所区别,其绩效也可能表现出一定的差异。本文
以重庆上市公司 98 年至 2004 年共 68 例并购事件为样本,结合重庆上市公司及其
资产重组情况,研究不同重组动因对重组绩效的影响,深入分析了重组动因影响
重组绩效深层次的原因,并提出探讨性见解,以期对重庆市上市公司以后的资产
重组有所裨益。
首先,本文提出重组动因对重组绩效的影响的角度研究企业重组行为的必要
性,并通过对企业重组动因和重组绩效研究的文献回溯,提出本文的研究思路和
研究框架。接着对企业重组基本理论基础进行阐述。然后,针对直辖以来重庆上
市公司及其资产重组的具体情况,分析了政府在重组中的重要作用,并探讨了重
庆上市公司资产重组的动因和绩效方面的问题。在此基础上,本文就重庆上市公司
资产重组动因对绩效的影响进行实证研究。为了避免单一绩效指标不能全面反应
企业状况的不足,本文选取了衡量企业经营绩效的多个财务指标,并利用主成分分
析法,构造了评价企业绩效的综合函数。实证研究的结果表明,资产重组能改善
企业绩效,而不同的重组动因对重组绩效有不同的影响。以直接改善资产质量为动
因的重组对绩效的改善是立竿见影的;以扩大规模,寻求管理和市场协同为动因
的重组很难在企业规模和盈利水平之间进行选择,综合绩效难以得到较大提高;
而以经营多元化为动因的重组由于进入不相关行业难以实现协同效应,因而重组
绩效不容乐观。本文最后分析了实证结果,并结合实际情况提出了有关的政策建议。

ABSTRACT

The asset restructure is an important mean to realize their development strategies
of enterprises in the developed capital market, with the deepening of enterprise's system
reform of our country pletion of market economy, with the opening furtherly
development of Chongqing, the asset restructure will play a more and more important
role in the great development of Chongqing too. this article was thinking the difference
of anization variable reason among enterprises anization behaviors, its
performance also possibly different in some degree. This article provides 68 market
examples of pany of chongqing from 1998 to 2004 ,combine the listed
company of Chongqing and situation of assets restructure, study the influence of
restruture motive on the performance differently, It obtains the probing opinion and
will have a benefit for panies’ asset restucture later .
